Terms of Service

These Terms of Service ("Terms") govern your access to and use of the OptionLab Pro platform, including the website, web application, APIs, and all related services (collectively, the "Service") operated by TRIPLEPRO CONSULTING PRIVATE LIMITED, a private limited company incorporated under the Companies Act 2013, having its registered office at the address above ("Company," "we," "us," or "our"). The Company operates the OptionLab Pro brand.

By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

To use the Service you must:

• Be at least 18 years of age.
• Be legally capable of entering into binding contracts under applicable law.
• Comply with all applicable Indian laws and regulations, including (where applicable) SEBI regulations governing the trading of securities and derivatives.
• Not be a person barred from using financial services under the laws of India or any other applicable jurisdiction.

By using the Service, you represent and warrant that you meet all of the above requirements. If you are using the Service on behalf of a legal entity, you also represent that you have authority to bind that entity to these Terms.

2. Nature of the Service — Not Investment Advice

You acknowledge that:

• All signal outputs are generated by automated algorithms and carry no guarantee of accuracy, completeness, or profitability.
• Historical backtesting results do not predict future performance.
• You are solely responsible for any trading decisions you make based on information obtained from this platform.
• You should consult a SEBI-registered investment adviser before making any investment decision.

3. Account Registration & Security

You must provide accurate and complete information when registering. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@optionlabpro.com of any unauthorised use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent or unlawful purposes.

4. Subscription Plans, Pricing & GST

4.1 Plans

The Service is offered on a subscription basis with auto-renewal (Razorpay UPI AutoPay / e-mandate / card mandate). Current plan details, pricing, and feature sets are displayed in the application and on our pricing page. Prices are quoted in Indian Rupees (INR).

4.2 GST (Goods and Services Tax)

All displayed prices are exclusive of 18% GST (CGST 9% + SGST 9% for customers in Delhi; IGST 18% for customers in other Indian states). At checkout, Razorpay charges the GST-inclusive total. The Company issues a system-generated tax invoice (SAC 998314) after each successful payment, available for download in your account at /account under Billing & Invoices.

To claim Input Tax Credit (ITC), provide your GSTIN on the billing-address screen at first checkout. Invoices issued before a GSTIN is provided cannot be retroactively amended once the relevant tax period is closed.

4.3 Payment Processing & Auto-Renewal

Payments are processed by Razorpay Software Private Limited, a third-party payment gateway. We do not store your card details. By signing up for a paid plan you authorise Razorpay to automatically charge you at the start of each billing period (30 days for monthly plans, 90 days for 3-month plans) until you cancel. By making a payment you also agree to Razorpay's terms of service.

4.4 Introductory Pricing

Launch promotional prices are subject to change. We will provide at least 30 days' notice before any price change applies to an active subscription. Notice is delivered via email to your registered address and in-app banner.

4.5 Cancellation & Refunds

Cancel anytime via Settings → Subscription. Cancellation takes effect at the end of your current billing period — you retain paid access until that date, then revert to the free tier. No partial-cycle refunds.

Subscription fees are non-refundable except as required by applicable law. If you believe you have been charged in error (duplicate charge, charge after cancellation), contact us within 7 days at supportoptionlabpro@gmail.com with subject "Billing — [your registered email]". Approved refunds are issued via the original payment method within 7–14 business days. Where a refund is issued, a Credit Note (SAC 998314) is generated and the corresponding GST liability is reduced in the month of issue.

5. Broker Integration & Auto-Trade Features

Elite plan subscribers may connect third-party broker accounts (e.g., Shoonya, Dhan) via API credentials. You acknowledge and agree that:

• You are solely responsible for all orders placed through your connected broker account, whether placed manually or via the auto-trade feature.
• OptionLab Pro is not a stockbroker or trading member registered with SEBI, NSE, BSE, or any exchange. We do not execute orders on your behalf — the platform sends instructions to your broker's API using your credentials.
• We are not responsible for order execution failures, partial fills, slippage, or losses arising from your broker's systems or API limitations.
• Your broker API credentials are encrypted and stored locally in your browser. We strongly recommend using dedicated API keys with appropriate position limits.
• The auto-trade feature is experimental. Past signal performance does not guarantee future auto-trade results. Always monitor your positions independently.

6. Acceptable Use

You agree not to:

• Reverse-engineer, decompile, or attempt to extract proprietary algorithms from the platform.
• Share your account credentials with third parties or resell access to the Service.
• Use the Service to engage in market manipulation, insider trading, or any activity prohibited by SEBI, FEMA, PMLA, or any applicable law.
• Use automated scripts or bots to scrape or overload the Service.
• Misrepresent signal outputs as SEBI-registered research or investment advice.

We reserve the right to terminate your access immediately for any violation of this section.

7. Intellectual Property

All content, software, algorithms, designs, and data on the platform are the proprietary property of OptionLab Pro or our licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and use the Service for your personal, non-commercial trading analysis purposes only.

You retain ownership of any trading data, strategy configurations, or other content you upload. By using the Service you grant us a limited licence to process such data solely to provide the Service.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO:

• Accuracy, completeness, or timeliness of market data, signals, or analysis.
• Fitness for a particular purpose or merchantability.
• Uninterrupted, error-free, or secure access to the Service.
• Profitability of any strategy tested or executed using the Service.

Market data is sourced from third-party providers and brokers. We do not warrant the accuracy or completeness of such data.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OPTIONLAB PRO, ITS OWNERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

• Any trading losses, lost profits, or financial damages arising from your use of or reliance on the Service.
• Any indirect, incidental, special, consequential, or punitive damages.
• Losses arising from system downtime, data errors, broker API failures, or force majeure events.

OUR AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY YOU IN THE 3 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such jurisdictions our liability is limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless OptionLab Pro and its affiliates, officers, and employees from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any trading losses you incur.

11. Privacy & Data

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service you consent to the data practices described therein.

We store the following consent record when you accept these Terms: the version identifier of the Terms accepted, the date and time of acceptance (UTC), a one-way hash of your IP address, your browser user-agent, and the plan you activated. This record is retained for the duration of your account and for 7 years thereafter for legal compliance purposes.

12. Modifications to These Terms

We may update these Terms from time to time. Material changes will be notified via email or an in-app notice at least 14 days before they take effect. The version identifier and effective date at the top of this page will be updated. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. For material changes, we may require you to explicitly re-accept the updated Terms before continuing to use the Service.

13. Termination

You may stop using the Service and delete your account at any time by contacting us. We may suspend or terminate your access at any time for violation of these Terms or applicable law, with or without notice.

Upon termination: (a) your right to use the Service ceases immediately; (b) any outstanding fees become immediately due; (c) Sections 2, 7, 8, 9, 10, 14, and 15 survive termination.

14. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, including (where applicable) the Digital Personal Data Protection Act 2023, the Information Technology Act 2000, the Companies Act 2013, and the Central Goods and Services Tax Act 2017. Any dispute arising out of or relating to these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the competent courts located in Delhi, India, where the Company's registered office is located.

Before initiating legal proceedings you agree to attempt to resolve disputes informally by contacting us at supportoptionlabpro@gmail.com. We will respond within 30 days. If the dispute is not resolved within 60 days of notice, either party may pursue legal remedies. For data-protection grievances unresolved at this stage, you may escalate to the Data Protection Board of India under DPDP §27.

15. Miscellaneous

• Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and OptionLab Pro regarding the Service.
• Severability. If any provision is found unenforceable, the remaining provisions remain in full force.
• No Waiver. Failure to enforce any right under these Terms does not constitute a waiver of that right.
• Assignment. You may not assign your rights or obligations under these Terms without our prior written consent.
• Force Majeure. We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including exchange outages, SEBI directives, regulatory actions, natural disasters, or network failures.
